Terms of service

This document governs the use of the facturifirma application (the "Service"), provided by TRI SOFTWARE SOLUTIONS SRL ("we", "the Company"). By creating an account or using the Service, you agree to these terms.
1. Description of the service
facturifirma is a multi-tenant, cloud invoicing application that lets you issue invoices, proformas and credit notes, submit documents to ANAF's e-Factura system (SPV), manage clients, suppliers and expenses, and generate financial/tax reports.
The Service is provided against a subscription, per the plans shown in the app or on the website.
The Service is offered exclusively to legal entities and professionals (business-to-business, B2B); it is not directed at individual consumers within the meaning of OUG nr. 34/2014. The pre-contractual information required by Legea nr. 365/2002 on electronic commerce (identity of the Company, characteristics of the Service, price and contracting method) is made available through this document, the Contact page, and the information shown on the website at the time of subscribing.
2. Account and subscription
Using the Service requires creating an account with real, up-to-date identification details. You are responsible for the confidentiality of your access credentials and for any activity carried out from your account.
The subscription is billed according to the chosen plan; failure to pay on time may lead to suspension or limitation of access to the Service, with prior notice.
3. Acceptable use
You agree to use the Service in good faith, in compliance with applicable law (including tax and data protection rules), and not to enter false data or illegal content, or attempt to compromise the Service's security.
We reserve the right to suspend accounts that breach these terms or endanger the integrity of the Service or other users.
4. Availability and limitations
We make reasonable efforts to keep the Service available, but we do not guarantee uninterrupted operation. There may be planned maintenance windows or interruptions caused by third parties (e.g. unavailability of ANAF/SPV services, cloud infrastructure providers).
We are not liable for delays or errors caused by external systems we do not control (ANAF, banks, payment providers).
5. Limitation of liability
To the extent permitted by law, our liability towards you is limited to the subscription fees paid over the previous 12 months. We are not liable for indirect damages, loss of profit or data resulting from improper use of the Service.
You are solely responsible for the accuracy of the data you enter and for the tax compliance of documents issued through the Service.
6. Termination
You may close your account at any time from the app settings or by written request. We may suspend or close your account in case of serious breach of these terms or persistent non-payment, with reasonable prior notice, except in security emergencies.
Upon termination, your data will be retained or deleted according to the privacy policy and legal tax-archiving obligations.
7. Governing law
These terms are governed by Romanian law. Any dispute is subject to the competent courts of Romania, without prejudice to consumers' rights to alternative dispute resolution mechanisms.
8. Changes to these terms
We may update these terms periodically. Significant changes will be communicated through the app or by email, with reasonable notice before they take effect.
